Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AI Assistant (“the Service”, “we”, “us”), including our marketing website (aibusinessagent.xyz), product app (aibusinessagent.xyz/agents), AgentBay marketplace (aibusinessagent.xyz/bay), API, and related applications. By creating an account or using the Service, you agree to these Terms.

1. The Service

AI Assistant is a multi-company AI workspace SaaS product. Features may include agents, projects, chat, training tools, billing meters, and marketplace listings on AgentBay. We may change, add, or discontinue features with reasonable notice where practicable. The Service is provided on a subscription and/or usage basis as described on our pricing and in-app plans.

2. Accounts

• You must provide accurate registration information and keep credentials secure.
• You are responsible for activity under your account and for users you invite to your workspace.
• You must be at least 16 years old (or the age of digital consent in your region).
• One person or legal entity per account unless we approve multi-seat organisation use under your plan.
• Notify us promptly of unauthorised access at firealarmsdublin@gmail.com.

3. Acceptable use

You agree not to:

• Violate law, others’ rights, or export/sanctions rules.
• Upload malware, scrape the Service abusively, or attempt unauthorised access.
• Use the Service to generate or distribute illegal, harmful, or deceptive content.
• Interfere with other customers, rate limits, or infrastructure security.
• Resell or white-label the Service without a written agreement.
• Misrepresent AI output as human-created professional advice without appropriate review.

We may suspend or terminate accounts that breach these rules.

4. Your content and AI output

You retain ownership of content you submit (agent configs, chats, uploads, listings, etc.). You grant us a limited licence to host, process, and display that content solely to operate and improve the Service (including routing to AI model providers you use).

AI content disclaimer: Outputs from language models and agents may be inaccurate, incomplete, or unsuitable for your purpose. They are not legal, medical, financial, or professional advice. You are solely responsible for reviewing outputs before relying on them in business or customer-facing decisions. We do not guarantee that any particular result will be produced or that model providers will remain available without change.

5. Third-party services and keys

The Service may integrate hosting, databases, email/SMS, Stripe, crypto payment rails, and AI providers (e.g. xAI, Anthropic). If you supply your own API keys, you remain responsible for those providers’ terms, costs, and security. We are not a party to your agreements with third parties.

6. Billing (Stripe and crypto)

• Fees, plans, credits, and token meters are shown in the app and on Pricing.
• Card payments are processed by Stripe; we do not store full card numbers.
• Crypto payments, where offered, are subject to network confirmation times, exchange-rate variance, and the wallet/address instructions we provide. Incorrect transfers may be irrecoverable.
• Subscriptions renew until cancelled according to your plan. Taxes may apply.
• Unless required by law or stated otherwise, fees are non-refundable once the billing period or consumable credits have begun, except where we fail to provide the paid Service in a material way.
• We may change prices with notice; continued use after the effective date constitutes acceptance.

7. AgentBay marketplace

Listings and transactions on AgentBay may involve third-party agents or templates. We do not warrant third-party quality, legality, or fitness. Buyers and sellers must comply with these Terms and any marketplace rules we publish. We may remove listings that violate policy or law.

8. Intellectual property

The Service, branding, software, and documentation are owned by us or our licensors. These Terms do not transfer ownership of our IP. Feedback you provide may be used freely without obligation to you.

9. Termination

You may stop using the Service and request account closure by contacting firealarmsdublin@gmail.com. We may suspend or terminate access for breach, non-payment, risk to the platform, or legal requirement. Upon termination, your right to use the Service ends; we may delete or retain data as described in our Privacy Policy and for legal/billing records.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that AI outputs will meet your requirements.

11. Limitation of liability

To the maximum extent permitted by law, we and our suppliers are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or business opportunities, arising from your use of the Service or reliance on AI output. Our aggregate liability for claims relating to the Service is limited to the greater of (a) amounts you paid us for the Service in the three (3) months before the claim, or (b) fifty euro (€50), except where liability cannot be limited by law (e.g. fraud or death/personal injury caused by negligence where such exclusion is prohibited).

12. Indemnity

You will defend and indemnify us against claims arising from your content, your use of the Service in violation of these Terms or law, or your misuse of AI outputs toward third parties.

13. Changes to these Terms

We may update these Terms; the “Last updated” date will change. Material changes may be notified by email or in-app notice. Continued use after the effective date means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of Ireland, without regard to conflict-of-law rules, unless mandatory consumer protections in your country of residence require otherwise. Courts in Ireland have non-exclusive jurisdiction, subject to those mandatory rights.
